Terms of Service

Version 1.5 — Effective date 2026-08-18

These Terms form an agreement between the customer or account holder ("Customer") and WISAL AL MASI ESTABLISHMENT FOR INFORMATION TECHNOLOGY ("WESSAAL"). By creating an account, purchasing a plan, signing an order or pilot document, or using WESSAAL Cloud or another enabled WESSAAL service, the Customer accepts these Terms.

1. Service and product model

WESSAAL provides software and related services for business communications, workflow management, automation, support, reporting, and other enabled business functions.

WESSAAL Cloud is a WESSAAL software service that may integrate with Meta's WhatsApp Business Platform when the relevant Meta services, permissions, and customer business assets are enabled.

WESSAAL does not sell or resell access to the WhatsApp Business Solution itself. Customers connect and use their own eligible Meta and WhatsApp business assets through the applicable official onboarding flow.

Feature availability, quotas, permitted channels, support, and restrictions are determined by the selected plan, order form, enabled product, provider availability, and current service state.

2. Accounts and authorized users

Customer must provide accurate information, protect credentials, use multi-factor authentication where offered, maintain current authorized users, and promptly report unauthorized access.

Customer is responsible for actions under its account except to the extent caused by WESSAAL's breach of its obligations.

3. Customer data and instructions

Customer retains its rights in Customer Data and instructs WESSAAL to process it only to provide, secure, maintain, and support the service, comply with law, and perform applicable data-processing obligations.

Customer warrants that it has the authority and lawful basis to upload and process its contacts, message content, campaign data, employee information, and other Customer Data.

Where WESSAAL processes data obtained through the WhatsApp Business Solution on behalf of a Customer, WESSAAL will process that data only in accordance with the Customer's authorized use of the requested service and applicable Meta/WhatsApp terms.

4. Meta and WhatsApp onboarding

A Customer using WhatsApp-enabled features must comply with all applicable Meta and WhatsApp terms, policies, eligibility requirements, messaging rules, and restrictions.

Where required, the Customer must accept the applicable Meta/WhatsApp terms before using the relevant WhatsApp Business features.

WESSAAL does not create or set up a WhatsApp Business Account on behalf of a Customer where Meta requires the Customer to complete or own that setup. The Customer is responsible for the accuracy, ownership, and eligibility of its Meta and WhatsApp business assets.

WESSAAL may suspend or disable WhatsApp-enabled functionality if Meta or WhatsApp restricts, suspends, rejects, or otherwise limits the Customer's business assets or access.

5. Subscriptions, fees and payment

Paid WESSAAL plans are billed at the displayed or agreed price, currency, and billing period. Taxes may apply.

WESSAAL fees cover WESSAAL's own software, hosting, automation, support, reporting, operational tools, and other non-Meta products or services included in the selected plan. WESSAAL does not charge a fee for the right to use the WhatsApp Business Solution itself.

Any charges imposed directly by Meta, WhatsApp, a telecommunications provider, payment provider, or another third party are separate and governed by that provider's terms unless expressly stated otherwise.

Resources, quotas, and entitlements are granted only for the active subscription and may be withdrawn or reduced when entitlement ends, payment fails, a refund reverses entitlement, or the account is suspended.

A free plan, trial, or promotional entitlement may be changed or discontinued.

6. Cancellation and refunds

A Customer cancellation is scheduled for the end of the current paid period unless WESSAAL expressly agrees otherwise.

Auto-renewal is disabled when cancellation is accepted. Access to paid WESSAAL resources continues until entitlement ends, then paid resources may be withdrawn.

Refund eligibility is governed by the displayed plan or order terms, payment status, applicable law, and any approved refund policy.

Chargebacks, fraud, abuse, or payment disputes may result in immediate restriction where reasonably necessary.

7. Acceptable use

Use the service only for lawful business and operational purposes.

Do not send spam, unlawful marketing, deceptive or harmful content, malware, prohibited content, or messages to recipients without required authority or consent.

Do not bypass quotas, access another account, workspace, or resource, test vulnerabilities without written permission, scrape or resell access, or interfere with service integrity.

Do not upload credentials, secrets, or data that Customer is not authorized to process.

Comply with Meta/WhatsApp and other provider policies where the enabled service depends on those providers.

8. Messaging and marketing responsibilities

For WESSAAL Cloud messaging or marketing functionality, Customer is the business sender and is responsible for lawful recipient selection, required opt-in or other lawful authority, message content, approved templates where required, and honoring opt-out requests.

Customer must not use WESSAAL Cloud to evade Meta/WhatsApp enforcement, messaging limits, quality controls, recipient preferences, or provider restrictions.

9. No resale or unauthorized access to provider services

Customer may not resell, rent, sublicense, distribute, or provide third parties with access to Meta or WhatsApp services through WESSAAL except where expressly permitted by the applicable provider terms and WESSAAL.

Customer may not represent itself or WESSAAL as an agent, legal representative, or employee of Meta or WhatsApp, and may not make warranties or guarantees on behalf of Meta or WhatsApp.

10. Service changes, suspension and termination

WESSAAL may change, restrict, or discontinue a feature for security, legal, provider, product, or operational reasons.

WESSAAL may suspend access for non-payment, abuse, security risk, unlawful use, provider restriction, or breach.

Upon termination, Customer may request export where technically available before deletion. Obligations concerning fees, intellectual property, confidentiality, liability, and legally retained records survive as applicable.

11. Intellectual property and feedback

WESSAAL and its licensors own the WESSAAL service, software, documentation, and branding. Meta and WhatsApp retain all rights in their respective services, technology, names, and trademarks.

Customer owns Customer Data.

Customer grants WESSAAL the limited rights needed to operate the service.

Pilot or test feedback may be used to improve WESSAAL without transferring Customer confidential information or personal data beyond the agreed purpose.

12. Confidentiality

Each party will protect non-public business, technical, and customer information using reasonable care and use it only for the agreement.

Confidentiality does not cover information lawfully public, independently developed, rightfully received, or required by law to be disclosed.

13. Warranties and liability

WESSAAL will provide the service with reasonable care and in accordance with the agreed scope.

Except for rights that cannot legally be excluded, the service is provided without a guarantee of uninterrupted, error-free, or universally compliant operation.

WESSAAL is not responsible for Customer content, recipient authority, provider outages, provider enforcement decisions, or misuse.

Any liability cap and exclusions in an order or SaaS agreement apply subject to mandatory law; fraud, willful misconduct, confidentiality, data-protection obligations, and payment duties are treated as required by applicable law.

14. Governing law and disputes

These Terms are governed by the laws of the Kingdom of Saudi Arabia, without excluding mandatory rights that apply to a Customer or data subject in another jurisdiction.

The parties will first try to resolve disputes in good faith.

The competent courts in Saudi Arabia have jurisdiction unless mandatory law or an agreed arbitration clause requires otherwise.
